• Use must comply with all applicable local, national, and international laws.
• Unauthorized attempts to bypass usage limits, permission layers, or technical safeguards are prohibited.
• Enterprise use cases requiring custom governance may require separate contractual addenda.

You are responsible for all activities carried out under your account credentials, including prompt engineering behavior, workflow execution, data submissions, third-party integrations, and output usage decisions.

You must ensure that any input data or source content you upload is lawfully obtained and that you maintain adequate rights, permissions, and notices required for that data processing.

• Maintain confidentiality and integrity of access credentials.
• Implement internal controls for role-based access within your organization.
• Use generated outputs with professional judgment and human review for high-impact decisions.

Certain services require account creation. You agree to provide accurate, complete, and current registration information and to keep such information updated throughout your usage lifecycle.

We may request additional verification, including company identity checks, billing authentication, or security validation, where required for compliance, abuse prevention, or enterprise onboarding.

Tivion Tech LLP reserves the right to suspend or deny registration requests containing materially false information, unsupported claims, or security risk indicators.

Except where expressly granted in writing, all rights, title, and interest in the services, architecture, software code, model design, documentation, visual assets, trademarks, and proprietary methods remain the exclusive property of Tivion Tech LLP.

No portion of our intellectual property may be copied, reverse engineered, republished, distributed, sublicensed, or commercially exploited beyond the permissions explicitly provided in your active service plan or contract.

Any unauthorized use of our intellectual property rights may result in immediate suspension and legal remedies available under applicable law.

Subject to your compliance with these terms and completion of all applicable payments, we grant you a limited, non-exclusive, revocable, non-transferable license to access and use our software and AI services for internal business purposes.

• The license is limited to the scope, duration, and user volume of your selected plan.
• No implied license is granted for source code access, model weights, or proprietary training assets.
• Resale, white-label distribution, or sublicensing requires explicit written authorization.

Breach of license terms may result in immediate termination of access rights without prejudice to additional legal action.

Our AI outputs are probabilistic and generated through machine-learning systems. While Tivion Tech LLP applies quality and safety controls, generated responses may contain inaccuracies, omissions, or context-dependent limitations.

You acknowledge that AI outputs should not be considered legal, medical, financial, or regulatory advice unless independently validated by qualified professionals.

• Users remain responsible for verification before relying on AI-generated decisions.
• High-risk use cases require additional human review and governance.
• We may deploy safety filters that block or modify requests considered unsafe or non-compliant.

Paid plans are billed according to the pricing model agreed at checkout, order form, or enterprise contract. Fees may be recurring, usage-based, milestone-based, or hybrid, depending on service type.

You authorize Tivion Tech LLP and its payment processors to charge all applicable amounts including taxes, overages, and currency conversion costs where relevant.

• Invoices are payable by the due date stated in the billing document.
• Late payments may attract service restrictions, suspension, or finance charges where legally permitted.
• Plan downgrades may apply from the next billing cycle unless otherwise agreed.

Unless required by law or expressly provided in a signed commercial agreement, subscription fees are generally non-refundable once the billing period begins and service access is provisioned.

You may request cancellation at any time through your account settings or official support channels. Cancellation typically prevents automatic renewal and remains effective from the next cycle date.

• Partial usage within a billing period does not guarantee proportional refunds.
• Custom implementation, onboarding, or professional services are non-refundable after delivery commencement.
• Refund evaluations, if any, are handled case-by-case based on contractual commitments.

Our collection and handling of personal or business data is governed by our Privacy Policy and relevant data protection obligations. By using our services, you consent to data processing required for product operation, security, support, and billing.

We implement commercially reasonable safeguards designed to protect data confidentiality, integrity, and availability. However, no digital system is absolutely immune to risks, and users should implement complementary security controls.

Where enterprise data processing agreements apply, those contractual terms prevail in addition to this policy framework.

Our platform may interoperate with third-party tools, cloud providers, APIs, payment gateways, communication channels, or external data connectors to deliver enhanced functionality.

Tivion Tech LLP does not control all external services and is not responsible for third-party outages, policy changes, data practices, or operational failures outside our direct management.

To the maximum extent permitted by law, Tivion Tech LLP shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of revenue, profits, data, goodwill, or business opportunity.

Our total aggregate liability relating to any claim arising from these terms or service usage shall not exceed the amount paid by you for the specific service during the twelve-month period preceding the claim event, unless otherwise required by law.

These limitations reflect commercially reasonable risk allocation and form an essential basis of the contractual relationship between the parties.

We strive to maintain reliable service availability and performance; however, uninterrupted operation cannot be guaranteed due to maintenance events, dependency outages, infrastructure incidents, cyber threats, or force majeure circumstances.

Scheduled maintenance windows may be communicated in advance when feasible. Emergency interventions may occur without prior notice where immediate action is required to protect systems or users.

• Performance benchmarks may vary by plan tier, region, and workload profile.
• Incident response priorities follow impact severity and contractual SLA commitments where applicable.
• Temporary downtime does not automatically constitute a breach unless specifically covered by signed SLA terms.

You agree not to engage in any activity that disrupts service integrity, infringes legal rights, or violates our ethical and security standards.

• Attempting unauthorized system access, credential abuse, or exploitation of vulnerabilities.
• Submitting malicious code, harmful prompts, or content intended for fraud, harassment, or unlawful surveillance.
• Using the services to violate intellectual property, confidentiality, or data protection obligations.
• Automating abusive traffic patterns that degrade service performance for other users.
• Misrepresenting identity, affiliation, or authority to gain unauthorized access.

Violation of this clause may result in immediate suspension and referral to competent legal authorities where required.

Tivion Tech LLP may suspend, restrict, or terminate access to all or part of the services if we reasonably believe a user has violated these terms, created operational risk, or failed to meet payment obligations.

Upon termination, all granted licenses and access rights cease immediately unless otherwise stated in a written post-termination transition agreement.

Provisions related to intellectual property, liability limits, confidentiality, payment obligations, and dispute resolution shall survive termination where legally permissible.

We may modify these Terms & Conditions from time to time to reflect legal, technical, operational, or business changes. Updated terms will be published on this page with a revised effective date.

Continued use of the services after updates become effective constitutes acceptance of the revised terms. If you disagree with any amendment, you should discontinue use and request closure of your account.

For enterprise contracts, negotiated change-management clauses may apply in addition to this general provision.

These Terms & Conditions are governed by and interpreted in accordance with the laws of India, without regard to conflict-of-law principles.

Subject to applicable legal requirements and arbitration clauses in specific enterprise agreements, courts located in Bengaluru, Karnataka, shall have exclusive jurisdiction over disputes arising in connection with these terms.

You agree to cooperate in good faith toward commercial resolution before initiating formal legal proceedings.
